Please read these Terms and Conditions (“Terms”) carefully before using the SolvedIT Inc. website or engaging our services. These Terms constitute a legally binding agreement between you and SolvedIT Inc.
1. Acceptance of Terms
By accessing or using the website located at solveditinc.com (the “Site”), or by requesting or receiving any services from SolvedIT Inc. (“SolvedIT,” “we,” “our,” or “us”), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Site and our Services.
These Terms apply to all visitors, users, and clients of SolvedIT Inc. Use of this Site by businesses and their authorized representatives constitutes acceptance on behalf of that business.
2. Description of Services
SolvedIT Inc. provides managed information technology, cybersecurity, physical security, cloud migration and management, network infrastructure, IT strategy, and related professional services to businesses primarily in New York, New Jersey, and Connecticut (collectively, the “Services”). The Site is used to provide information about SolvedIT and to facilitate initial engagement with prospective and existing clients.
Separate Service Agreements: The specific terms governing the delivery of professional and managed services — including scope of work, service levels, fees, and support obligations — are set forth in separate written service agreements, statements of work, or managed service agreements entered into between SolvedIT and each client. In the event of any conflict between these Terms and a signed service agreement, the signed service agreement controls.
3. Eligibility
The Site and Services are intended for use by businesses and business professionals. By using the Site, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal authority to enter into binding agreements on behalf of yourself or the organization you represent;
- Your use of the Site and Services complies with all applicable laws and regulations.
4. Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, images, icons, software, page layouts, and the overall design — is the property of SolvedIT Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. You may not:
- Copy, reproduce, distribute, or create derivative works from any content on the Site without our express written permission;
- Use any SolvedIT trademarks, logos, or service marks without prior written authorization;
- Scrape, data-mine, or systematically extract content from the Site;
- Frame or mirror any portion of the Site without our prior written consent.
Any feedback, suggestions, or ideas you submit to us may be used by SolvedIT without any obligation to compensate you.

When you submit a contact form, assessment request, or other inquiry through the Site, you consent to being contacted by SolvedIT via the contact information you provide. You represent that all information you submit is accurate and that you have the authority to provide it. SolvedIT will handle your information in accordance with our Privacy Policy.
Submission of a form or inquiry does not create a client relationship or obligate SolvedIT to provide any services. A client relationship is established only upon execution of a written service agreement.
7. Third-Party Links and Services
The Site may contain links to third-party websites or resources. These links are provided for informational convenience only. SolvedIT does not endorse and is not responsible for the content, accuracy, privacy practices, or availability of any third-party sites. Your access to and use of third-party sites is solely at your own risk and subject to those sites’ own terms and conditions.
Our Site integrates with certain third-party platforms (such as GoHighLevel/LeadConnector for CRM and form processing, and Google Analytics for website analytics). Your use of the Site is also subject to the applicable terms and privacy policies of those platforms.
8. Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOLVEDIT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
SOLVEDIT DOES NOT WARRANT THAT:
- THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- THE INFORMATION ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT;
- THE RESULTS OF USING THE SITE WILL MEET YOUR REQUIREMENTS.
Any reliance you place on information obtained through the Site is at your own risk. The Site is not a substitute for professional advice tailored to your specific circumstances.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLVEDIT INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SOLVEDIT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). LIABILITY ARISING UNDER A SIGNED MANAGED SERVICE AGREEMENT OR OTHER WRITTEN CONTRACT IS GOVERNED BY THE TERMS OF THAT AGREEMENT.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless SolvedIT Inc. and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or information you submit to SolvedIT.
11. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Site, you consent to the data practices described in the Privacy Policy.
12. Electronic Communications
By using the Site or submitting a form, you consent to receiving electronic communications from SolvedIT. 14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and you hereby consent to personal jurisdiction in those courts.
Informal Resolution: Before initiating formal legal proceedings, you agree to first contact SolvedIT in writing and attempt to resolve the dispute informally for a period of at least 30 days.
15. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and SolvedIT with respect to the Site and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
- Waiver: No waiver by SolvedIT of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or any other term.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. SolvedIT may assign its rights and obligations under these Terms without restriction.
- No Agency: Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and SolvedIT.
